COMMERCIAL MORTGAGE-BACKED SECURITIES (CMBS) OF BENEFICIAL OWNERSHIP

The sole advisory service of BAPCD, Inc. is sponsoring our CRE ACQUISITION FUND to issue exclusively by Private Placement Memorandum, Trust Indenture, and Subscription Agreement, the Transaction Documents an unlimited amount of Zero-Coupon Commercial Mortgage-Backed Securities (CMBS) of Beneficial Ownership and the Trustee shall be the legal owner of the Commercial Real Estate (CRE) Pool in trust, as fiduciary for the benefit of the Holders of CMBS who are the equitable owner(s) of the CRE Pool, as trust property as provided thereby to secure the payment of the principal and Redemption Price of and interest on all Outstanding CMBS, payable by, the three-year maturity date, succeeding the Delivery Date of each CMBS. OID is a form of interest. Zero-Coupon CMBS pay no stated interest until maturity. OID is the excess of a Zero-Coupon CMBS stated redemption price at maturity over its issue price (discounted from the face value).
